Software projects involve significant money, time and expectations. Disputes usually arise not from bad intentions but from unclear agreements: what was included, when it was due, who owns the code. A clear contract protects both client and developer. Here is a checklist for Lucknow businesses.

Attach or reference a detailed scope document listing features, modules, platforms, user roles, integrations and deliverables. Include what is explicitly excluded, such as content writing, hosting costs or third-party fees.
Specify what you will receive: source code, design files, database, documentation, deployment on your hosting, admin credentials and app store submissions.
Break the project into milestones with target dates, such as design approval, development phases, testing and launch. Include client responsibilities, like providing content or feedback within set days, since client delays affect timelines.
Tie payments to milestones. Specify amounts, due dates, GST, payment methods and consequences of late payments.
Define how changes are requested, estimated, approved and billed. Changes are normal; a clear process prevents disputes.
State that the client owns the source code, designs and deliverables upon full payment. Clarify the use of third-party libraries, open-source components and any pre-existing code the developer retains rights to.
Domain, hosting, app store accounts, payment gateway, email services and analytics should be registered in the client's name. The developer should receive access, not ownership.
Both parties agree to protect confidential information, including business data, customer data and trade secrets.
If the developer accesses personal data, include obligations for security, limited use and data handling consistent with Indian data protection laws.
Define how deliverables are tested and accepted, including a testing period and criteria for acceptance.
A bug-fix warranty period after launch, typically covering defects in agreed functionality, not new features.
Separate terms for ongoing support: scope, response times and fees.
Conditions under which either party can end the contract, payment for completed work, and handover of code and materials.
How disagreements will be resolved: discussion, mediation, arbitration, and jurisdiction.
Reasonable limits on liability, agreed by both parties.
