These Terms of Service ("Terms") govern your access to and use of the Coding Warriors website and your engagement of services provided by Coding Warriors Software Solutions LLP. By using our website or engaging our services, you agree to these Terms.
Effective from August 26, 2026These Terms of Service ("Terms") apply to your access to and use of the Coding Warriors website and to services provided by Coding Warriors Software Solutions LLP ("Coding Warriors", "we", "us", or "our").
By accessing our website, submitting an inquiry, requesting a quotation, purchasing a service, entering into a project agreement, or otherwise engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
Where a separate written agreement, proposal, statement of work, service agreement, maintenance agreement, or other contract has been executed between you and Coding Warriors, that agreement will govern the applicable engagement and may contain terms that supplement, modify, or override these Terms.
If there is a conflict between these Terms and a signed project-specific agreement, the applicable signed agreement will take precedence for that specific engagement.
Coding Warriors provides software development and digital technology services to businesses, organizations, startups, and other clients.

The exact services, deliverables, specifications, timelines, dependencies, pricing, support arrangements, and other requirements will be defined in the applicable proposal, quotation, statement of work, or project agreement.
Before commencing a project, Coding Warriors may provide a proposal, quotation, statement of work, service agreement, or other written document describing the scope and commercial terms of the engagement.
Depending on the nature of the engagement, project documentation may include:
A project will generally commence after the applicable proposal or agreement has been accepted and any required advance payment or onboarding requirements have been completed.
Clients are responsible for providing the information, approvals, access, materials, and cooperation reasonably required for Coding Warriors to perform the agreed services.

Delays caused by missing information, delayed approvals, unavailable access, third-party dependencies, or other client-controlled matters may affect project timelines and delivery dates.
Project pricing and timelines are based on the agreed scope of work. Requests that materially change or expand the agreed scope may be treated as change requests or additional work.

Additional work may require a revised quotation, additional fees, and an updated delivery schedule. Coding Warriors may require written approval before commencing material additional work.
Deliverables will be provided according to the agreed project scope and delivery schedule, subject to client dependencies and circumstances outside our reasonable control.
Where a project includes a review or acceptance period, the client is expected to review the relevant deliverable and provide reasonable feedback within the period specified in the applicable agreement.
Minor defects or issues that do not materially prevent the agreed functionality from operating as specified may be addressed during the applicable testing, warranty, or support period.
Additional features, new requirements, or changes to previously approved functionality are not considered defects and may be treated as additional work.
After substantial completion of the agreed project scope, Coding Warriors may make the project available through a staging, development, or testing environment for client review.
The project timeline will be based on the duration specified in the applicable proposal, quotation, statement of work, or project agreement. For example, where a project is agreed to have a development period of 45 days, Coding Warriors will target completion of the agreed scope within that period, subject to timely receipt of required information, approvals, content, access, payments, and other client dependencies.
Any delay caused by the client, third-party providers, changes in scope, unavailable resources, delayed approvals, delayed payments, or circumstances outside Coding Warriors' reasonable control may extend the applicable timeline.
Unless a different period is specified in the applicable project agreement, the client will have 7 calendar days from the date the project is made available on the staging or testing environment to review and test the agreed functionality.
The client should report bugs, defects, or issues that fall within the agreed project scope during the applicable testing period. Coding Warriors will review and address valid in-scope issues within a reasonable period.
New features, additional functionality, redesigns, changes to approved requirements, or other requests outside the agreed scope may be treated as additional work and may require additional fees and time.
The client is responsible for testing the project during the applicable testing period and providing consolidated feedback or written approval.
Where the client does not provide material feedback or identify an in-scope defect within the applicable testing period, the project may be treated as accepted for the purposes of final invoicing, production deployment, or project closure, subject to the applicable agreement and applicable law.
Unless otherwise agreed in writing, production deployment will take place after the applicable testing and acceptance process has been completed and all payments that are due and payable for the project have been cleared.
Coding Warriors is not required to deploy the project to the production environment, transfer final production credentials, or complete final production handover while amounts due for the applicable project remain outstanding.
Where the client controls the production environment, Coding Warriors may provide the approved production-ready deliverables or deployment support after the applicable payment conditions have been satisfied.
Production deployment may be delayed where the client has not provided required hosting access, domain access, DNS changes, production credentials, approvals, content, payment, or other information necessary to complete deployment.
Project fees and payment schedules are agreed with the client before or at the commencement of the applicable engagement. Depending on the nature, size, and requirements of the project, Coding Warriors may require payment in full in advance, an initial advance followed by milestone payments, or another payment schedule agreed in writing.
The applicable proposal, quotation, invoice, statement of work, or project agreement will specify the total project fee, applicable advance payment, milestone amounts, payment due dates, and other applicable charges.
Depending on the project, payment may be structured as:
Coding Warriors may require the agreed advance payment or initial payment to be received before development or other project work begins. The project timeline may commence only after the required payment, project requirements, content, access credentials, approvals, and other necessary client dependencies have been received.
Where payments are divided into milestones, each milestone payment becomes due according to the schedule specified in the applicable project agreement, quotation, or invoice.
Coding Warriors may pause further development, delivery, testing, deployment, support, or other project activities if a milestone payment becomes overdue.
Unless otherwise agreed in writing, all outstanding project payments must be cleared before the final production deployment, production handover, transfer of applicable production credentials, or release of final project deliverables.
Completion of development and client testing does not waive or postpone any payment obligation that has become due under the agreed payment schedule.
Applicable taxes, government charges, payment-processing fees, domain registration, hosting, software licenses, subscriptions, third-party APIs, and other external service charges may be payable separately where specified in the applicable agreement or invoice.
If any payment remains unpaid after its due date, Coding Warriors may suspend the affected project or services until the outstanding amount is received. Any resulting delay in the project timeline or deployment schedule may be treated as a client-side delay.
Where a project has completed development and the applicable client testing or acceptance period has ended, any outstanding payment will remain due regardless of whether the client has subsequently deployed the project to its production environment.

Where a project has completed the applicable development and client testing process and outstanding payments remain unpaid, Coding Warriors may suspend further work, deployment, access, hosting, staging, or other project-related services.
If outstanding amounts remain unpaid for 15 calendar days after the applicable testing or acceptance period has ended, Coding Warriors may provide written notice requiring the client to clear the outstanding amounts and complete the necessary production-deployment process.
If the outstanding amounts remain unpaid after such notice, Coding Warriors may suspend or remove the project from its development, staging, testing, or hosting environment, subject to the applicable project agreement and applicable law.
Where Coding Warriors is providing hosting or infrastructure for the project, continued hosting or storage after the applicable payment period may be subject to additional charges or suspension.
The client is responsible for maintaining appropriate copies of client-owned content, data, credentials, and deliverables provided to or approved by the client.
If a project is removed following termination, suspension, or prolonged non-payment, Coding Warriors may delete the project files from its active development, staging, or hosting environment. Unless otherwise agreed in writing, Coding Warriors does not guarantee that such files will remain available for recovery after removal.
Clients should obtain and maintain their own appropriate backups of project files, databases, content, credentials, and other important data before project closure, suspension, or removal.
Projects may require the use of third-party products, platforms, APIs, software, hosting providers, payment gateways, plugins, libraries, cloud services, communication platforms, or other external services.

Third-party services are generally subject to the terms, policies, availability, pricing, and technical limitations of the relevant third-party provider.
Unless expressly agreed otherwise, Coding Warriors is not responsible for changes, outages, limitations, suspension, pricing changes, security incidents, or discontinuation of a third-party service.
Unless otherwise agreed in writing, upon full payment for a project, all custom code, designs, and deliverables created specifically for the client become the property of the client.
We retain ownership of pre-existing tools, frameworks, libraries, reusable components, templates, development methodologies, and general technical know-how used in delivering services. These materials may also be used in projects for other clients, provided no client-confidential information or client-owned proprietary materials are disclosed.

Specific intellectual property terms may be modified by a signed project agreement, which will take precedence over this general policy.
During an engagement, each party may receive confidential or proprietary information belonging to the other party.
Each party agrees to use reasonable care to protect confidential information and not disclose it to unauthorized third parties except where disclosure is:
Where a separate NDA or confidentiality agreement exists, that agreement will govern the confidentiality obligations between the parties.
Coding Warriors will perform agreed services with reasonable professional care and in accordance with the applicable project scope.
Where a project includes a warranty or post-delivery support period, the applicable project agreement will specify its duration and scope.
Unless otherwise agreed, warranty or bug-fix support generally relates to defects that prevent the delivered functionality from operating substantially as specified in the agreed scope.

You agree not to use our website or services for unlawful, fraudulent, abusive, or unauthorized activities.

To the maximum extent permitted by law, Coding Warriors' aggregate liability arising from a particular project or service will not exceed the total fees actually paid to Coding Warriors for the specific service or project giving rise to the claim during the applicable period.
Nothing in these Terms is intended to exclude or limit liability that cannot lawfully be excluded or limited under applicable law.
To the extent permitted by applicable law, the client agrees to indemnify and hold Coding Warriors, its personnel, and authorized representatives harmless from claims, losses, damages, liabilities, and reasonable expenses arising from:
This section does not apply to the extent a claim results from Coding Warriors' own breach, negligence, or unlawful conduct.
Either party may terminate an engagement in accordance with the termination provisions contained in the applicable project agreement.
Where a project agreement does not specify termination procedures, either party may request termination by providing reasonable written notice, subject to any outstanding payment obligations and applicable law.
Upon termination:
Coding Warriors will not be responsible for delay or failure to perform obligations caused by circumstances beyond our reasonable control.
Such circumstances may include natural disasters, severe weather, war, terrorism, civil unrest, government action, internet or telecommunications failures, widespread infrastructure outages, cyber incidents, third-party service failures, labor disruptions, epidemics, pandemics, or other events beyond reasonable control.
Where reasonably possible, we will communicate material delays and work with the client to determine an appropriate revised delivery or service plan.
These Terms shall be governed by and interpreted in accordance with the laws of India, without regard to conflict-of-law principles, to the extent permitted by applicable law.
The parties will first attempt to resolve disputes through good-faith communication and reasonable negotiation.
If a dispute cannot be resolved amicably, it may be subject to the jurisdiction of the competent courts in Lucknow, Uttar Pradesh, India, unless a different dispute-resolution mechanism or jurisdiction is expressly agreed in a written project agreement.
Nothing in this section prevents either party from seeking urgent or interim relief where such relief is available under applicable law.
We may update these Terms from time to time to reflect changes to our services, business practices, technology, legal requirements, or operational policies.
When we make changes, we will update the "Effective from" date displayed on this page. Material changes to an existing client agreement will not automatically modify the terms of that agreement unless the applicable agreement permits such modification or the parties agree to the change in writing.
